Terms & Conditions
These terms govern access to Salari by organizations, their administrators and invited employees.
1. Operator and agreement
Salari is operated by Reco Digital LLC, identification number 400471440, registered in Georgia (“Reco Digital”, “Salari”, “we” or “us”). By creating an account, accepting an invitation or using Salari, you agree to these Terms. If you use Salari for an organization, you confirm that you are authorized to bind or act for that organization.
An organization's signed order, commercial proposal or other written agreement with Reco Digital forms part of the agreement and prevails over these Terms where it expressly states different terms.
2. The service
Salari provides software for organizations to fund and administer employee benefit allowances, configure budget rules, invite employees, present benefits, record claims, review analytics and manage related billing. Features may evolve as the service develops.
Employee access is available only through an organization invitation reserved for the invited email address. Accounts are personal and may not be shared.
3. Organization responsibilities
The organization is responsible for the lawfulness and accuracy of employee information and instructions it provides; selecting eligible employees and benefits; setting and funding allowances; communicating employment and tax treatment; ensuring administrators are authorized; and complying with employment, tax, accounting and benefits obligations applicable to it.
The organization must promptly remove access for people who are no longer eligible and must not use Salari to discriminate unlawfully or provide illegal goods or services.
4. Employee allowances and company funding
An employee allowance is a monthly spending limit configured by the organization. It is not cash, a bank deposit, salary, stored value owned by the employee or a right to withdraw funds. Allowances ordinarily renew each calendar month and unused employee allowance does not carry forward unless the organization and Salari expressly configure otherwise.
The Company Wallet is an internal ledger showing prepaid benefit funding received or confirmed for the organization. Company funds may roll over between months, subject to outstanding claims, settlements, refunds, termination and any separate agreement. A benefit claim may reserve funds immediately. Salari may prevent claims where the allowance or available company funding is insufficient.
5. Benefit partners and fulfilment
Benefits, vouchers, discounts and services may be supplied by independent partners. Partner-specific availability, redemption instructions, expiry rules, exclusions and service terms may apply. Salari facilitates administration but does not manufacture or independently guarantee a partner's goods or services. Statutory rights and any rights against the relevant partner remain unaffected.
6. Fees, invoices and taxes
Organizations pay the applicable Salari platform fee based on active employees or an agreed custom rate. Public prices exclude VAT unless expressly stated otherwise. Benefit funding is separate from Salari's service fee. Reco Digital may issue separate funding and service-fee invoices.
Invoices are payable by their stated due date. The organization is responsible for taxes and reporting associated with employee benefits except taxes imposed directly on Reco Digital's income. We may correct billing errors and will maintain an auditable record of wallet adjustments.
7. Acceptable use
You must not access another person's account; bypass invitation or security controls; submit false claims; misuse partner offers; interfere with the service; introduce malicious code; scrape or reverse engineer the platform except where law expressly permits; use Salari for unlawful, fraudulent or abusive activity; or infringe another person's rights.
We may investigate suspected misuse, preserve relevant records and suspend affected access where reasonably necessary to protect users, partners, Reco Digital or the integrity of the service.
8. Intellectual property
Reco Digital and its licensors retain all rights in Salari, including its software, design, brand and documentation. These Terms grant a limited, non-exclusive, non-transferable right to use the service during the applicable subscription. Users retain rights in content they submit and grant Reco Digital the rights reasonably necessary to host, process and display it for the service.
9. Privacy and confidentiality
Personal data is handled as described in the Privacy Policy and applicable data-protection agreements. Each party must protect the other party's non-public business information and use it only for the service, except where disclosure is authorized or legally required.
10. Availability and changes
We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Maintenance, security events, provider failures and circumstances outside reasonable control may affect access. We may modify features where reasonably required for security, law, partner availability or product improvement, while avoiding material reduction of paid core functionality without appropriate notice.
11. Suspension and termination
We may suspend access for material breach, security risk, unlawful use or overdue undisputed payment after reasonable notice where practicable. Either party may terminate according to the applicable order or written agreement. On termination, new claims may stop and the parties will reconcile unpaid fees, outstanding reservations, partner settlements and remaining company funding under their agreement and applicable law.
12. Disclaimers and liability
To the maximum extent permitted by law, Salari is provided on an “as available” basis and implied warranties are excluded. Reco Digital is not liable for indirect, incidental, special or consequential loss, loss of profit or business opportunity, or failures caused by an organization, user, partner or event outside our reasonable control.
Where liability cannot be excluded, Reco Digital's aggregate contractual liability will not exceed the Salari platform fees paid by the affected organization during the twelve months before the event giving rise to the claim. This limitation does not apply where exclusion or limitation is prohibited by law, including liability arising from fraud or intentional misconduct.
13. Governing law and disputes
These Terms are governed by the laws of Georgia. The parties should first attempt to resolve a dispute in good faith. Unless mandatory law provides otherwise, disputes are subject to the competent courts of Georgia. Nothing in these Terms removes rights that cannot lawfully be waived.
14. Changes and contact
We may update these Terms for legal, security or product reasons. Material changes will be notified through Salari or another appropriate channel before they take effect. Continued use after the effective date constitutes acceptance where permitted by law.
